August M&A: Netcapital merges with ValueSetters, Kronos and Ultimate unveil rebrand

This wasn't a particularly hot month for M&A activity in Boston, with a handful of deals crowded toward the end of the month. But we still saw some major moves.

Of note, Netcapital agreed to merge with ValueSetters, its longtime partner. With the transaction, the two companies essentially broaden their networks. Netcapital will be able to access ValueSetters’ digital marketing expertise and strategic advisory services, as well as ValueSetters' team of former investors.

Elsewhere, acquisitions finally closed: LogMeIn is now a private company again, more than eight months after it agreed to be acquired by Francisco Partners and Evergreen Coast Capital. Also, Kronos and Ultimate Software completed their merger four months ago, but in August, they unveiled a snazzy new name: UKG, or Ultimate Kronos Group.

Here are the highlights from August 2020.

TouchBistro acquired TableUp, a Boston-based provider of loyalty and marketing solutions for the restaurant industry. No financial terms were disclosed.

Boston-based investment analysis software company Astrocyte Research, a.k.a. Portformer, acquired ownership analytics provider Passiv.AI, per a press release emailed to BostInno.

Wilmington-based Charles River Laboratories acquired cell therapy Cellero for $38 million.

Cambridge drugmaker Momenta Pharmaceuticals agreed to be acquired by Johnson & Johnson for $6.5 billion

Blueday, a Boston-based provider of store performance management software, was acquired by Tulip, a Toronto firm behind cloud-based retail mobile solutions. No financial terms were disclosed.

Yumanity Therapeutics and Proteostasis Therapeutics entered into a definitive merger agreement. In conjunction with the merger, Proteostasis reduced its workforce by 79 percent.

Boston-based telehealth startup InfiniteMD, which connects patients with experts who can provide second opinions, was acquired by clinical advocacy and decision-support company ConsumerMedical. No financial terms were disclosed.

kSARIA, a Methuen-based aerospace and defense manufacturer, acquired Compulink, a St. Petersburg, Fla.-based manufacturer of cables and harnesses for commercial and military applications. No financial terms were disclosed.

Texan digital business and IT services company NTT DATA Services agreed to acquire Boston-based Acorio, a ServiceNow Elite Partner. No financial terms were disclosed.

Capital One acquired Cambridge-based Freebird, a business-to-business startup whose predictive technology lets agents sell smarter flight insurance and rebooking services. No financial terms were disclosed.

Equity crowdfunding platform Netcapital agreed to merge with ValueSetters, an advisory firm that helps private companies raise capital online. The total consideration for Netcapital is approximately $20 million paid in shares of ValueSetters common stock.

LogMeIn’s $4.3 billion acquisition by Francisco Partners and Evergreen Coast Capital is complete, more than eight months after it was first reported.

The Massachusetts Technology Transfer Center, or MTTC, which helps colleges and universities manage their faculty research IP and commercialization, has been folded into MassVentures, the quasi-public agency that invests in state startups.

Ionis Pharmaceuticals will acquire the remaining stake in Akcea Therapeutics for $500 million.
